1. Business Information

These Terms & Conditions ("Terms") govern all services, programs, and digital products offered by Elev8 Strategic Finance GmbH, a company registered in Switzerland under CHE-150.395.066, operated by Jana Zimova.

By purchasing a service, program, or product, submitting payment, or otherwise engaging with Elev8 Strategic Finance GmbH, you acknowledge that you have read, understood, and agree to be bound by these Terms.

 

2. Scope of Services

Elev8 Strategic Finance GmbH provides strategic finance and business consulting, executive coaching and mentoring, workshops, training programs, and digital products designed to help business leaders, entrepreneurs, and organizations strengthen their financial literacy, clarify strategic direction, structure their finance operations, and accelerate sustainable growth.

Specific deliverables, timelines, and engagement details are outlined in individual service agreements, program descriptions, or purchase confirmations.

 

3. Target Audience

Our services, programs, and products are primarily intended for business and professional users (B2B), including corporate executives, board members, entrepreneurs, and business owners.

Where services are purchased by private individuals acting as consumers, mandatory consumer protection provisions under Swiss law remain unaffected and shall prevail over any conflicting provisions in these Terms.

 

4. Fees & Payment Terms

All prices are stated in Swiss francs (CHF) and include any applicable value-added tax (VAT) and statutory fees unless otherwise specified.

Full payment is due upfront and must be received before any services commence, materials are delivered, or access to programs or digital products is granted.

Accepted payment methods:

  • Bank transfer to the account indicated on the invoice

  • Credit or debit card payment via our payment processor

Late or incomplete payments may result in suspension of access to sessions, materials, deliverables, or platforms until payment is resolved. Elev8 Strategic Finance GmbH reserves the right to charge interest on overdue amounts in accordance with Swiss law.

 

5. Cancellations, Rescheduling & Refunds

Rescheduling: Individual sessions or workshops may be rescheduled by the client with at least 48 hours' advance notice. Rescheduling is subject to availability.

Missed sessions: Sessions missed without 48 hours' notice or sessions not attended are forfeited and non-refundable.

Refund policy: Due to the personalized and immediate nature of strategic consulting, coaching, and digital content delivery, all fees are final and non-refundable once the program, session, or service has commenced or digital access has been granted, except where mandatory Swiss law grants you a right to withdrawal or refund.

In exceptional circumstances (e.g., verified serious illness, force majeure, or other compelling reasons), Elev8 Strategic Finance GmbH may, at its sole discretion, offer a one-time program extension or alternative arrangement.

 

6. Client Responsibilities

Clients are responsible for:

  • Providing accurate and complete information necessary for service delivery

  • Attending scheduled sessions punctually and prepared

  • Actively participating in agreed processes and completing any pre-work or assignments

  • Maintaining confidentiality of login credentials and access materials

  • Using all materials and deliverables solely for their intended business purpose

 

7. Confidentiality

Both parties agree to maintain strict confidentiality regarding all proprietary, financial, strategic, and business information exchanged during the engagement.

Information disclosed during the engagement will not be shared with third parties without prior written consent, except where disclosure is required by Swiss law or regulatory authority.

This confidentiality obligation survives termination of the engagement.

 

8. Intellectual Property

All frameworks, methodologies, tools, templates, documents, systems, and materials created or provided by Elev8 Strategic Finance GmbH remain the intellectual property of Elev8 Strategic Finance GmbH and Jana Zimova.

Clients receive a non-exclusive, non-transferable, royalty-free license to use deliverables and materials internally for their own business purposes only.

Prohibited uses include:

  • Reproduction, distribution, or sharing of materials outside the client's organization

  • Resale, licensing, or commercial exploitation of materials

  • Modification or reverse engineering of proprietary tools or frameworks

  • Use of materials for training, consulting, or advisory services to third parties

Unauthorized use of intellectual property may result in immediate termination of services and legal action.

 

9. Data Protection & Privacy

Elev8 Strategic Finance GmbH complies with the Swiss Federal Data Protection Act (revDSG/nFADP) and, where applicable, the EU General Data Protection Regulation (GDPR).

Personal data is collected and processed only for the purposes of communication, service delivery, invoicing, and fulfillment of contractual obligations.

Clients may request access to, correction of, or deletion of their personal data by contacting jana.zimova@elev8strategicfinance.com.

 

10. Limitation of Liability

To the extent permitted by applicable law, Elev8 Strategic Finance GmbH's total liability for any claim arising out of or related to these Terms or the provision of services shall be limited to the total fees paid by the client for the specific engagement or program giving rise to the claim.

Elev8 Strategic Finance GmbH accepts no responsibility or liability for indirect, consequential, incidental, special, or punitive damages, including but not limited to loss of profits, revenue, business opportunities, or data.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under mandatory provisions of Swiss law, including liability for unlawful intent (Vorsatz) or gross negligence (grobe Fahrlässigkeit).[web:25][web:22]

The advice, recommendations, and deliverables provided are based on information supplied by the client and are intended to support strategic decision-making. Final business decisions and their implementation remain the sole responsibility of the client.

 

11. Termination

Either party may terminate an ongoing engagement:

  • By mutual written agreement at any time

  • For material breach of these Terms by the other party, with 14 days' written notice to remedy the breach

Upon termination:

  • The client remains liable for all fees for services rendered up to the date of termination

  • Elev8 Strategic Finance GmbH will deliver any completed work up to the termination date

  • All confidentiality and intellectual property obligations survive termination

Elev8 Strategic Finance GmbH reserves the right to suspend or terminate access immediately in cases of client misconduct, breach of confidentiality, unauthorized use of materials, or non-payment.

 

12. Force Majeure

Neither party shall be liable for failure to perform its obligations under these Terms where such failure is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government restrictions, strikes, or technical failures.

The affected party shall promptly notify the other party and make reasonable efforts to resume performance as soon as practicable.

 

13. Changes to Terms

Elev8 Strategic Finance GmbH reserves the right to update or modify these Terms at any time. Changes will be effective upon publication on our website at https://www.elev8strategicfinance.com.

Clients will be notified of material changes via email where practicable. Continued use of services after changes are published constitutes acceptance of the revised Terms.

 

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if that is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

 

15. Entire Agreement

These Terms, together with any individual service agreements, program descriptions, and our Privacy Policy, constitute the entire agreement between the parties and supersede all prior negotiations, representations, and agreements, whether written or oral, relating to the subject matter herein.

 

16. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law principles.

Place of jurisdiction: The courts at the registered office of Elev8 Strategic Finance GmbH in Pratteln, Canton Basel-Landschaft, Switzerland shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms, subject to any mandatory place of jurisdiction under applicable Swiss law.[file:15][web:19][web:20]

The parties agree to first attempt to resolve any disputes amicably through good-faith negotiation before initiating formal legal proceedings.
